China Gingko Education Group Company Limited (the Company) was incorporated in the Cayman Islands under the Cayman Islands Companies Law as an exempted company with limited liability on March 23, 2018. Since its incorporation, our Company has been an investment holding company. China Gingko Education Group Company Limited, its subsidiaries and entities controlled by the contractual arrangements (the Group) are a higher education service provider in Sichuan Province.

Our history can be traced back to 2002, when our founder Mr. Fang, leveraging his abundant management experience in the restaurant industry and at the vision to providing higher education service dedicated to training talents with practical skills applicable to the modern service industry, jointly established Yinxing International Hotel Management College of CUIT, in Chengdu, Sichuan Province. Yinxing Hotel Management College was established as an independent college in 2004 pursuant to an approval from the Ministry of Education. In 2010, Yinxing Training School obtained approval from Chengdu Civil Affairs Bureau (成都市民政局) and Chengdu Human Resources and Social Security Bureau (成都市人力资源和社会保障局) for its establishment. In June 2018, we entered into the Contractual Arrangements for the purposes of the reorganization pursuant to which our Company acquired control of Yinxing College and Yinxing Training School. In April 2020, the Group successfully completed the application for termination of the cooperation with CUIT and conversion of Yinxing College into a regular private higher education institution, namely Gingko College of Hospitality Management.

In the 2021/2022 school year, approximately 14,800 students were enrolled in Gingko College. As of the Latest Practicable Date, Yinxing Training School did not conduct any business operation.

After developed for more than a decade, our Group adheres to the philosophy of “to cultivate service awareness and to achieve the unity of knowledge and action (服务养成，知行相济)” we are committed to fostering and improving the practical skills of our students by providing diversified courses and extensive practical training platform. We endeavor to cultivate high-end market-oriented talents with professional knowledge, cultural awareness, creative thinking ability and strong practical skills required by the modern service industry.

The two campuses of our college located in Chengdu and Yibin encompass approximately 1000mu (around 66.67 hectares). Among them, the Yibin campus with the vision of "Study, Research and Training" has built 3 high-standard teaching hotels for operations to the public and 1 large banquet hall. It is equipped with training venues to enhance students’ skills and knowledge on guest room, western cuisine, coffee, baking, bartending and tea etc. Dormitories, restaurants and sports courts are all available, which can accommodate more than 10,000 people at the same time to study at school. In addition, our college has a variety of campus facilities, such as classroom buildings, laboratories, libraries, apartment buildings, an art gallery, an exhibition center, a track and field, a canteen and a multifunctional center. The multifunctional center provides theaters, gymnasiums and rock-climbing facilities. In addition to the regular gymnasium, our college also provides tennis courts. Many of the tennis competitions held by Chengdu Tennis Association took place in the tennis courts in our college. Our college dormitories generally equipped with independent bathrooms and balconies, as well as a variety of furniture and home appliances such as computer desks, wardrobes, air conditioners, water heaters, and drinking fountains. Wireless network is generally available on the campus. Banking services, supermarkets, restaurants and canteens, telecommunication services, healthcare services, among others, are also available on the campus. Various campus facilities and school buildings together with natural landscape constitute a pleasant garden landscape style campus that provides our students with a desirable environment for their school life.

Our School: Gingko College of Hospitality Management

During the Track Record Period, our revenue recorded stable growth. Our revenue for the years ended December 31, 2018, 2019 and 2020 and for the six months ended June 30, 2020 and 2021 was approximately RMB156.6 million, RMB165.7 million, RMB176.9 million, RMB81.4 million and RMB108.6 million, respectively.

We are a higher education service provider in Sichuan Province. Starting to provide higher education and pre-vocational education services in 2002, we are dedicated to offering comprehensive and diversified programs and curriculum and training talents with practical skills applicable to the modern service industry. Our college has eight departments and offers 28 bachelor’s degree programs and 28 junior college diploma programs, providing a wide range of courses spanning six disciplines, namely, management, literature, engineering, education, economics and arts. To foster the practical skills of our students, we have established extensive practical training platforms to supplement the traditional in-class teaching. Moreover, we integrate theoretical learning with skill-oriented practices by establishing and maintaining effective school-enterprise cooperation. As of June 30, 2021, we had established long-term cooperation relationships with two talent centers and 500 renowned enterprises in order to provide internship opportunities for our student. We believe our efforts to provide practical training have enabled us to achieve higher employment rate than our competitors. In the 2018/2019, 2019/2020 and 2020/2021 school years, the initial employment rate of our graduates was about 94.8%, 88.8% and 91.0%, respectively. Our dedication to provide diversified programs and to cultivate market-oriented talents has earned us various accolades. According to the CUAA’s Evaluation and Study Report of Universities in China for 2021 (2021中國大學評價研究報告), our bachelor’s degree program ranked seventeenth among colleges in Sichuan Province based on a comprehensive evaluation score. Also, our college is on the 2021 China Finance and Economics Private Higher Education Institutions list, ranked one hundred twenty seventh in China.

The hospitality management program is our leading program, through which we dedicate to training high-end professionals with applicable skills by providing practical training courses taught by teachers with relevant industry experience and various internship opportunities in high-end hotels. Consequently, our graduates enjoy high popularity among high-end hotels. Among the students who graduated in 2021, the employment rate of hotel management was 82.1%. In addition, based on a comprehensive evaluation score, our hotel management major was rated as a six-star major by CUAA (i.e. China's top applicable major), and ranked first in the first-class management major in Sichuan Province and sixth in the country.
